Public offer to make a voluntary charitable donation

This Public Offer for Making a Voluntary Charitable Donation (free-of-charge transfer of funds) for socially beneficial (charitable) purposes is addressed to an indefinite number of individuals and legal entities (hereinafter referred to as the “Benefactor”) — visitors of the site of the Charitable Organization “INTERNATIONAL CHARITABLE FOUNDATION SAVED” on the Internet: https://saved.foundation/ (hereinafter referred to as the “Site”), and constitutes an official and public offer of the Charitable Organization “International Charitable Foundation SAVED”, EDRPOU Code 44868434 (hereinafter referred to as “ICF SAVED” or the “Foundation”), represented by Director Anastasiia Klimina, acting on the basis of the Charter, to enter into a charitable donation agreement (hereinafter referred to as the “Agreement” or “Public offer”), the subject matter and essential terms of which are set out below.
This Public Offer enters into force from the moment of its publication on the Foundation’s Site. This Public Offer is open-ended and may be amended or withdrawn by ICF SAVED at any time (prior to its acceptance by the Benefactor) by publishing the relevant information on the Site. The Foundation may enter into agreements on charitable donations in a different manner and/or on different terms than those provided for in this Public Offer. The Benefactor may separately apply to the Foundation to conclude such an agreement.
1. Terms and Definitions
Acceptance — full and unconditional acceptance of this Public Offer by performing actions aimed at making a monetary transfer using the payment forms and tools posted on the Site, as well as by transferring funds to the settlement account of ICF SAVED through authorized banks. The moment of Acceptance is the date of crediting the funds to the bank settlement account of ICF SAVED.
Charitable Donation — a voluntary monetary transfer made by the Benefactor to achieve and implement the goals, objectives, areas, and types of statutory activities of ICF SAVED in accordance with the Agreement, the Charter of ICF SAVED, and the Law of Ukraine “On Charity Work and Charity Organizations”.
Public Offer — a valid offer of ICF SAVED posted on the site for making a charitable donation, addressed to an unlimited number of persons, including the Benefactor.
Site — the website of the Charitable Organization “INTERNATIONAL CHARITABLE FOUNDATION SAVED” on the Internet: https://saved.foundation/
Foundation, ICF SAVED — the Charitable Organization “International Charitable Foundation SAVED”.
2. Subject of the Public Offer Agreement
The subject of this Public Offer Agreement is the free-of-charge transfer by the Benefactor into the ownership of ICF SAVED of monetary funds by making voluntary charitable donations for the implementation of the statutory activities of ICF SAVED or for purposes directly determined by ICF SAVED within the framework of a specific fundraising campaign.
A charitable donation is voluntary and is not subject to further return to the Benefactor.
The Benefactor independently determines the amount of the charitable donation.
The Foundation independently determines the areas of use of the charitable donation within its statutory activities, unless otherwise determined by the Benefactor in accordance with the procedure established by this Agreement. The subject of this Agreement does not include the receipt of profit, directly or indirectly, by any of the Parties.
Performance of this Agreement by the Parties does not aim at obtaining profit or any benefits for any of the Parties.
At the Benefactor’s discretion, the Benefactor may specify the designated purpose of the charitable donation by selecting from among the programs (projects) and purposes announced by ICF SAVED on its site. If a specific project (purpose) is open for donations during the period announced on the site, designated charitable donations may be credited only within the specified period. After its expiration, the Benefactor may not select a program (project) or purpose for which the fundraising period has ended.
3. Forms and Methods of Making a Charitable Donation
A charitable donation may be made by:
- a one-time payment through the Site or by bank transfer using the bank details posted on the Foundation’s site;
- a subscription providing for monthly or annual payments in an arbitrary amount.
Such subscription may be canceled at any time through the services of the Benefactor’s authorized bank (for example, Privat24) or other services (for example, Apple Pay, Google Pay, etc.).
All expenses related to the payment of amounts (fees) associated with the transfer and crediting of charitable donations shall be borne by the Benefactor.
4. Acceptance
Acceptance of the Public Offer means that the Benefactor agrees with all its provisions, confirms their right to accept it, and fully understands and agrees with the subject matter of the Agreement, the purpose of public fundraising, and the right of ICF SAVED to use a portion of the Benefactor’s charitable donation for administrative expenses of ICF SAVED in an amount not exceeding that provided for by the legislation of Ukraine.
The Benefactor and ICF SAVED, guided by Article 207, Part 2 of Article 639, and Articles 641 and 642 of the Civil Code of Ukraine, agree that from the moment of Acceptance, the Agreement shall be deemed concluded from the moment the donation is credited to the Foundation’s bank current account. The Parties agree that failure to comply with the written form of the transaction shall not invalidate it.
5. Rights and Obligations of ICF SAVED
5.1. ICF SAVED has the right to:
- receive charitable donations and use them to achieve the goals, objectives, areas, and types of statutory activities of ICF SAVED in accordance with the Agreement, the Charter of ICF SAVED, and the Law of Ukraine “On Charity Work and Charity Organizations” (taking into account the designated purpose of the project/fundraising goal, if such option was selected by the Benefactor on the Site);
- change, without the Benefactor’s consent, the areas of use of non-designated donations within the statutory activities of ICF SAVED;
- use, without additional consent of the Benefactor, a portion of the charitable donation for administrative expenses of ICF SAVED in an amount not exceeding that provided for by the legislation of Ukraine.
5.2. ICF SAVED is obliged to:
- use received charitable donations in accordance with the subject matter and terms of this Agreement, the Charter of ICF SAVED, and the Law of Ukraine “On Charity Work and Charity Organizations” (taking into account the designated purpose of the project/fundraising goal, if such option was selected by the Benefactor on the Site);
- report on the use of charitable donations in the manner determined by this Agreement and the current legislation of Ukraine.
If the purpose of a designated fundraising campaign/project is not achieved, ICF SAVED shall inform about this on its Site. After such notification, ICF SAVED has the right to allocate the donations for purposes provided for by the Charter of ICF SAVED. The Benefactor has the right to monitor the designated use of the charitable donation.
6. Term and Place of Fundraising
The Benefactor has the right to monitor the designated use of the charitable donation.
Place of public fundraising: public fundraising of charitable donations is conducted in the territory of any country of the world, except for the aggressor state or occupying state in accordance with the current legislation of Ukraine. The direct activities of ICF SAVED related to public fundraising under this Agreement are carried out at the location of ICF SAVED.
Fundraising term: public fundraising of charitable donations continues until the liquidation of ICF SAVED, unless another term is determined by ICF SAVED.
7. Procedure for Public Access to Financial Reports of ICF SAVED
Access to the report on the use of their charitable donation shall be provided to the Benefactor upon their written request. Other information shall be provided by ICF SAVED in the manner and within the time limits established by the current legislation of Ukraine. ICF SAVED may publish reports on the use of charitable donations on the Site.
8. Personal Data Protection
For the purpose of complying with the Law of Ukraine “On Personal Data Protection” and fulfilling the terms of the Agreement, the Benefactor gives consent to the processing of personal data. ICF SAVED undertakes not to transfer the email address and other information about Benefactors to third parties, except in cases provided for by the current legislation of Ukraine.
Acceptance also means that the Benefactor — an individual — has been informed and agrees to the following:
the Benefactor gives ICF SAVED unconditional consent to the processing of their personal data provided when visiting the Site and/or making a monetary transfer (hereinafter referred to as “Personal Data”), is informed about the inclusion of such information in the Personal Data database of ICF SAVED, and about all rights regarding the protection of their Personal Data provided for by the current legislation of Ukraine, namely Article 8 of the Law of Ukraine “On Personal Data Protection”;
ICF SAVED processes Personal Data by any means for the purpose of proper implementation of this Agreement and its statutory activities.
9. Applicable Law
The relations between the Benefactor and ICF SAVED shall be governed by the provisions of Ukrainian legislation.
10. Liability
The Benefactor shall be responsible for the accuracy of the information provided when making a voluntary charitable donation.
The liability of the Foundation for violation of this Agreement or the procedure for using charitable donations shall arise on the grounds, in the amount, and in the manner determined by the requirements of the current legislation of Ukraine.
11. Miscellaneous
In the event of disputes between the Parties to this Agreement, they shall be resolved through negotiations. If it is impossible to resolve disputes through negotiations, disputes shall be considered by the courts in accordance with the procedure established by the current legislation of Ukraine.
